Initial public offer of 156,729,745* equity shares of face value of Re. 1 each ("Equity Shares") of Adani Wilmar Limited ("Company" or "Issuer") for cash at a price of Rs. 230 per equity share aggregating to Rs. 3600.00* crores ("Issue"). The issue includes a an allotment of 2,278,1857* equity shares aggregating to Rs. 47.61 crores (constituting 0.18% of the post-issue paid-up share capital) for subscription by eligible employees ("Employee Reservation Portion") and an allotment of 15,652,173* equity shares aggregating to Rs. 360.00 crores (constituting 1.20% of the post-issue paid-up share capital) for subscription by eligible ael shareholders ("Shareholder Reservation Portion"). In accordance with the securities and exchange board of india (issue of capital and disclosure requirements) regulations, 2018, as amended (the "Sebi Icdr Regulations"), the shareholder reservation portion does not exceed 10% of the issue size. The issue less the employee reservation portion and the shareholder reservation portion is hereinafter referred to as "Net Issue". The issue and net issue shall constitute 12.06% and 10.68%, respectively, of the post-issue paid-up share capital of the company. The face value of equity shares is Re. 1 each. The issue price is 230 times the face value of the equity shares. The company, in consultation with the managers, has offered a discount of Rs. 21 per equity share to eligible employees bidding in the employee reservation portion. *Subject to finalisation of basis of allotment Bids can be made a minimum of 65 equity shares and in multiples of 65 equity shares thereafter.
