Initial Public Offer of 38,987,081 equity shares of face value of Rs. 10 each (the "equity shares") of UTI Asset Management Company Limited (the "company") for cash at a price of Rs. 554 per equity share (including a share premium of Rs. 544 per equity share) aggregating to Rs. 2159.88 Crores (the "offer") through an offer for sale of up to 10,459,949 equity shares aggregating to Rs. 579.48 Crores by State Bank of India ("sbi"), up to 10,459,949 equity shares aggregating to Rs. 579.48 Crores by Life Insurance Corporation of India ("lic"), up to 10,459,949 equity shares aggregating to Rs. 579.48 Crores by Bank of Baroda ("bob"), to 3,803,617 equity shares aggregating up to Rs. 210.72 Crores by Punjab National Bank ("pnb") and up to 3,803,617 equity shares aggregating up to Rs. 210.72 Crores by T. Rowe Price International Ltd ("trp" and together with sbi, lic, Bob and pnb, the "selling shareholders"). This offer includes a reservation of up to 200,000 equity shares (constituting to 0.16% of the post-offer paid-up equity share capital of the company) for purchase by eligible employees (the "employee reservation portion"). The offer less the employee reservation portion is hereinafter Referred to as the "net offer". The offer and the net offer would constitute 30.75% and 30.59% of the post-offer paid-up equity share capital, respectively. The Offer Price is Rs.554 per equit share and is 55.4 times of the face value of the equity shares, The Anchor Investor offer Price is Rs.554 per equity share.
