Public issue of up to 22,823,333 equity shares of face value of Rs. 10 each ("equity shares") of VRL Logistics Limited ("Company" or "Issuer") for cash at a price of Rs. 205 per equity share (including a share premium of Rs. 195 per equity share) aggregating up to Rs. 467.88 crores consisting of a fresh issue of 5,707,333 equity shares aggregating to Rs. 117.00 crores (The "Fresh Issue") and an offer for sale of upto 17,116,000 equity shares by the selling shareholders consisting of an offer of up to (i) 14,550,000 equity shares by NSR-PE Mauritius LLC (ii) 1,283,000 Equity shares by Dr Vijay Sankeshwar and (iii) 1,283,000 Equity shares by Mr Anand Sankeshwar Aggregating up to Rs.351 Crores (The "Offer for sale" and together with the fresh issue, the "issue"). The issue will constitute 25.01% of the fully diluted post-issue paid-up equity share capital of the company. Issue Price : Rs. 205 per equity share of face value of Rs. 10 each. The issue price is Rs. 20.5 times the face value. Anchor investor issue price Rs. 205 per Equity share.
