Initial public offering of 9,057,470 equity shares of face value of Rs. 5 each ("equity shares") of Barbeque-Nation Hospitality Limited ("Company" or "issuer") for cash at a price of Rs. 500 per equity share (Including a share premium of Rs. 495 per equity share) (The "offer price") aggregating to Rs. 452.87 Crores comprising a fresh issue of 3,600,000 equity shares aggregating to Rs. 180 Crores ("fresh issue") and an offer for sale of 1,018,288 equity shares by Sayaji Housekeeping Services Limited ("SHKSL"), 339,430 equity shares by Azhar Dhanani ("AD"), 339,430 equity shares by Sadiya Dhanani ("SD"), 339,430 equity shares by Sanya Dhanani ("SND"), 3,323,106 equity shares by Tamara Private Limited ("TPL"), 71,186 equity shares by Aajv Investment trust ("AAJV") and 26,600 equity shares by Menu Private Limited (Sayaji Housekeeping Services Limited, Azhar Dhanani, Sadiya Dhanani, Sanya Dhanani, Tamara Private Limited, Aajv Investment Trust and Menu Private Limited shall be collectively referred to as the "Selling Shareholders") aggregating up to 5,457,470 equity shares (The "offered shares") aggregating to Rs. 272.87 Crores ("offer for sale" and together with the fresh issue, the "offer"). The offer includes a reservation of 40,000 equity shares, aggregating to Rs. 2 Crores, for subscription by eligible employees (As defined in the DRHP) not exceeding 0.11% of the post-offer paid up equity share capital (The "Employee Reservation Portion"). The offer less the employee reservation portion is hereinafter referred to as the "net offer". The offer and the net offer shall constitute 24.13% and 24.02%, respectively of the post-offer paid-up equity share capital of the company. The Company and TPL have completed a Pre-IPO Placement of 5,951,132 equity shares for consideration aggregating to Rs.149.97 Crores, as a consequence, the amount raising in the Pre-IPO placement has been reduced from the fresh issue subject the minimum offer of 10% of the post offer paid up equity share capital being offered to the public. Accordingly the size of fresh issue up to Rs. 275 Crores which the company increased to Rs. 329.97 Crores in accordance with schedule XVI(2)(A)(iii) of the SEBI ICDR regulations, has been reduced to Rs.180 Crores pursuant to Pre-IPO Placement. The Anchor investor offer price is Rs. 500 per equity share. Offer Price: Rs. 500 per Equity Shares of face value of Rs. 5 each. The Offer Price is 100 times the face value of the Equity Shares. Anchor Investor Offer Price : Rs. 500 per Equity Share.
