Initial public offering of 9,565,404 equity shares of face value of Rs. 10 each ("equity shares") of Security and Intelligency Services (India) Limited (The "company or the "issuer"), for cash at a price of Rs. 815 per equity share including share premium of Rs. 805 per equity share (the "offer price"), aggregating to Rs. 779.58 crores (The "offer" comprising of a fresh issue of 4,444,785 equity shares by the company aggregating to Rs. 362.25 crores (the "fresh issue") and an offer for sale of 5,120,619 equity shares aggregating to Rs. 417.33 crores by the selling shareholders, comprising an offer for sale of 3,402,764 equity shares aggregating to Rs. 277.33 crores by Theano Pvt Limited, an offer for sale of 68,336 equity shares aggregating to Rs. 0.56 crores by AAJV Investment Trust (Together, the "investor selling shareholders") and offer for sale of 786,517 equity shares aggregating to Rs. 64.10 crores by Ravindra Kishore Sinha, an offer for sale of 524,345 equity share aggregating to Rs. 42.73 crores by Rituraj Kishore Sinha (Together, the "promoter selling shareholders"), and an offer for sale of 338,657 equity shares aggregating to Rs. 27.60 Crores by the other selling shareholders (Together, the "offer for sale"). The offer shall constitute 13.07% of the post-offer paid-up equity share capital of the company. The face value of the equity share is Rs. 10 each. The offer price is 81.5 times the face value of the equity share.
