Initial public offering of 58,262,397* equity shares of face value of Rs. 2 each ("equity shares") of PB Fintech Limited ("Company" or "Issuer") for cash at a price of Rs. 980 per equity share (including a share premium of Rs. 978 per equity share) (the "Offer Price") aggregating to Rs. 5709.72 crores (the "Offer") comprising a fresh issue of 38,265,306* equity shares aggregating to Rs. 3750.00 crores (the "Fresh Issue") and an offer for sale of 19,997,091* equity shares aggregating to Rs. 1959.72 crores (the "Offer for Sale"), comprising an offer for sale of 19,132,653* equity shares aggregating to Rs. 1875.00 crores by SVF Python II (Cayman) Limited (the "Investor Selling Shareholder") and 864,438* equity shares aggregating to Rs. 84.72 crores by certain persons listed in this prospectus (the "Other Selling Shareholders", as defined below) (the investor selling shareholder and the other selling shareholders, collectively, the "Selling Shareholders", and such equity shares offered by the selling shareholders, the "Offered Shares"). * Subject to finalization of the basis of allotment.
