Public offer of 13,50,000 equity shares of face value of Rs.10 each ("equity shares") of Sungold Media & Entertainment Limited (the "company") for cash at a price of Rs.10/- per equity share (the "offer price"), aggregating to Rs.1.35 Crores ("the offer") through an offer for sale comprising of 13,50,000 equity shares by Mr. Rajiv Rameshchandra Kotia, of which 70,000 equity shares of face value of Rs.10 each for cash at a price of Rs.10/- per equity share, aggregating to Rs. 0.07 Crores will be reserved for subscription by the market maker to the offer (the "market maker reservation portion"). The offer less market maker reservation portion i.e. Offer of 12,80,000 equity shares of face value of Rs.10 each for cash at a price of Rs.10/- per equity share, aggregating to Rs.1.28 Crores is hereinafter referred to as the "net offer".
