Initial public offering of 40,766,550* equity shares of face value of Rs. 2 each ("Equity Shares") of Indegene Limited (The "Company" or the "Company") for cash at a price of Rs. 452 per equity share (including a premium of Rs. 450 per equity share) ("Offer Price") aggregating Rs. 1841.76 crores* (the "Offer") comprising a fresh issue of 16,833,818* equity shares aggregating to Rs. 760.00 crores (the "Fresh Issue") and an offer for sale of 23,932,732* equity shares aggregating to Rs. 1081.76 crores* (the "Offer for Sale"), consisting of 1,118,596* equity shares aggregating to Rs. 50.56 crores* by Manish Gupta, 3,233,818* equity shares aggregating to Rs. 146.17 crores* by Rajesh Bhaskaran Nair, 1,151,454* equity shares aggregating to Rs. 52.05 crores* by Anita Nair (collectively with Manish Gupta and Rajesh Bhaskaran Nair, the "Individual Selling Shareholders"), 3,600,000* equity shares aggregating to Rs. 162.72 crores* by Vida Trustees Private Limited, 2,657,687* equity shares aggregating to Rs. 120.13 crores* by BPC Genesis Fund I SPV, Ltd, 1,378,527* equity shares aggregating to Rs. 62.31 crores* by BPC Genesis Fund I-A SPV, Ltd. and 10,792,650* equity shares aggregating to Rs. 487.83* crores by CA Dawn Investments (collectively with Vida Trustees Private Limited, BPC Genesis Fund I SPV, Ltd and BPC Genesis Fund I-A SPV, Ltd., the "Investor Selling Shareholders" and collectively with the individual selling shareholders, the "Selling Shareholders" and such equity shares, the "Offered Shares").
