Public offer of 10,08,000 equity shares of face value of Rs. 10 each ("equity shares") of East India Securities Limited (the "company") for cash at a price of Rs. 920/- per equity share (including a share premium of Rs. 910/- per equity share) (the "offer price"), aggregating to Rs. 92.74 crores ("the offer") through an offer for sale comprising of 5,04,000 equity shares by Mr. Lakshmendra Kumar Agarwal and 5,04,000 equity shares by Mr. Vivek Agarwal of which 50,400 equity shares of face value of Rs. 10 each for cash at a price of Rs. 920/- per equity share, aggregating to Rs. 4.64 crores will be reserved for subscription by the market maker to the offer (the "market maker reservation portion"). The offer less market maker reservation portion i.e. Offer of 9,57,600 equity shares of face value of Rs. 10 each for cash at a price of Rs.920/- per equity share, aggregating to Rs. 88.10 crores is hereinafter referred to as the "net offer". The offer and the net offer will constitute 27.49% and 26.11% respectively of the fully diluted post offer paid up equity share capital of the company. The face value of the equity shares is Rs. 10 each and the issue price is 92 (ninety two) times of the face value.
