Initial public offering of up to 12,000,000^ equity shares of face value Rs. 5 each ("Equity Shares") of Anand Rathi Wealth Limited (The "Company" or the "Issuer") for cash at a price of Rs. 550* per equity share including a share premium of Rs. 545* per equity share (The "Offer Price"), aggregating up to Rs. 659.38^ crores, comprising an offer for sale of: (A) up to 9,285,000 equity shares aggregating up to Rs. 510.19^ crores by Anand Rathi Financial Services Limited, up to 375,000 equity shares aggregating up to Rs. 20.61^ crores by Mr. Anand Rathi and up to 375,000 equity shares aggregating up to Rs. 20.61^ crores by Mr. Pradeep Gupta (together, the "Promoter Selling Shareholders") and (b) up to 375,000 equity shares aggregating up to Rs. 20.61^ crores by Mr. Amit Rathi, up to 375,000 equity shares aggregating up to Rs. 20.61^ crores by Ms. Priti Gupta, up to 375,000 equity shares aggregating up to Rs. 20.61^ crores by Ms. Supriya Rathi, up to 375,000 equity shares aggregating up to Rs. 20.61^ crores by Rawal Family Trust, acting through Mr. Rakesh Rawal, up to 90,000 equity shares aggregating up to Rs. 4.95^ crores by Mr. Jugal Nantri and up to 375,000 equity shares aggregating up to Rs. 20.61^ crores by Mr. Feroze Azeez (together, the "Other Selling Shareholders") (as defined hereinafter, and together with the promoter selling shareholders, the "Selling Shareholders") (the "Offer"). The offer constituted 28.83 % of the fully diluted post offer paid-up equity share capital of the company. the offer included a reservation of up to 250,000 equity shares aggregating up to Rs. 13.13^ crores (constituting up to 0.60 % of the post-offer paid-up equity share capital) for subscription by eligible employees (the "Employee Reservation Portion"). The offer less the employee reservation portion is hereinafter referred to as the "Net Offer". The offer and the net offer would constitute 28.83 %^ and 28.23 %^, respectively, of the company post-offer paid-up equity share capital. The offer price is Rs 550 per equity share and is 110 times the face value of the equity shares and the anchor investor price is Rs. 550 per equity share. A discount of Rs. 25 per equity share was offered to eligible employees bidding in the employee reservation portion. ^ Subject to finalisation of basis of allotment. Bids can be made for a Minimum of 27 Equity Shares and in Multiples of 27 Equity Shares thereafter.
