Public offer of 13,80,000 equity shares of face value of Rs. 10.00 each of Kwality Pharmaceuticals Limited ("The company" or "KPL") for cash at a price of Rs. 45.00 per equity share (including a share premium of Rs. 35.00 per equity share) ("Offer price") Aggregating to Rs. 6.21 Crores ("The offer") consisting of a fresh issue of 1,80,000 equity shares aggregating to Rs. 0.81 Crores (The "Fresh issue") and an offer for sale of 12,00,000 equity shares by TR Metals Private Limited ("selling shareholder") Aggregating to Rs. 5.40 Crores ("Offer for sale") and together with the fresh issue ("the offer") of which, 72,000 equity Shares aggregating to Rs. 0.32 Crores will be reserved for subscription by market maker ("Market maker reservation Portion"). The offer less the market maker reservation portion i.e. offer of 13,08,000 equity shares of face value of Rs. 10.00 Each at an offer price of Rs. 45.00 per equity share aggregating to Rs. 5.89 Crores is hereinafter referred to as the "net offer". The offer and the net offer will constitute 26.60% and 25.21%, respectively of the post offer paid up equity share capital of the company. The face value of the equity shares is Rs. 10 each and the offer price of Rs. 45.00 is 4.5 times of the face value.
