Public offer of 65,71,200 equity shares of face value of Rs. 10 each ("Equity Shares") of Euro India Fresh Foods Limited (The "Company") for cash at a price of Rs. 78 per equity share, including share premium of Rs. 68 per equity share (The "Offer Price"), aggregating Rs. 51.26 crores ("The Offer") consisting of a fresh offer of 48,00,000 equity shares aggregating up to Rs. 37.44 crores and an offer for sale of 17,71,200 equity shares by the promoter selling shareholders (The offer for sale and the fresh offer are collectively referred to as the "Offer"), of which 3,36,000 equity shares of face value Rs. 10/- each for cash at a price of Rs. 78 per equity share, aggregating Rs. 2.62 crores will be reserved for subscriptions by the market maker to the offer (The "Market Maker Reservation Portion"). The offer less market maker reservation portion i.e. net offer of 62,35,200 equity share of face value of Rs. 10 each for cash at a price of Rs. 78 per equity share, aggregating Rs. 48.64 crores is hereinafter referred to as the "Net Offer". The offer and the net offer will constitute 26.50% and 25.14% respectively of the fully diluted post offer paid up equity share capital of the company. The face value of the equity shares is Rs. 10 each and the offer price of Rs. 78 is 7.8 times of the face value of the equity shares.
