Initial public offer of 38,58,000 equity shares of face value of Rs. 10/- each ("equity shares") of E2E Networks Limited (the "company" or "issuer") for cash at a price Rs. 57/- per equity share (including a share premium of Rs.47/- per equity share) aggregating Rs. 21.99 Crores (the "offer"), comprising of fresh issue of 27,50,000 equity shares agregating upto Rs. 15.68 Crores ("fresh issue") and an offer for sale of 11,08,000 equity share aggregating upto Rs. 6.31 crores comprising 1,14,297 equity shares by Manjit Rai Dua, 1,25,567 equity shares by shailly dua, 1,25,567 equity shares by Sunchita Baweja, 5,16,548 equity shares by Blume Ventures Fund I and 2,26,021 equity shares by Blume Ventures Fund IA (collectively referred to as "selling shareholders") aggregating 11,08,000 equity shares by the selling shareholders ("offer for sale") and together with the fresh issue ("the offer"). The offer comprises of 1,94,000 equity shares of face value of Rs. 10/- each for cash at a price of Rs. 57/- per equity share, aggregating Rs. 1.11 Crores will be reserved for subscription by the market maker to the offer (the "market maker reservation portion"). The offer less market maker reservation portion i.e. Offer of 36,64,000 equity shares of face value of Rs. 10/- each for cash at a price of Rs. 57/- per equity share, aggregating Rs. 20.88 Crores is hereinafter referred to as the "net offer". The offer and the net offer will constitute 27.08% and 25.72% respectively of the post offer paid up equity share capital of the company. The face value of the equity shares is Rs. 10 each and the offer price of Rs. 57/-which is 5.7 times of the face value of the equity shares.
