Initial Public offer of equity shares of face value of Re. 1 each ("equity shares") of Vijaya Diagnostic Centre Limited ("company" or "issuer") for cash at a price of Rs. 531 per equity share ("offer price"), through an offer for sale of up to 35,688,064 equity shares aggregating to Rs. 1894.26 Crores ("offer") by the selling shareholders, comprising of 5,098,296 equity shares aggregating up to Rs. 270.61 Crores by Dr. S. Surendranath Reddy ("promoter selling shareholder"), 29,487,290 equity shares aggregating to Rs. 1565.13 Crores by Karakoram Limited and 1,102,478 equity shares aggregating to Rs. 58.52 Crores by Kedaara Capital Alternative Investment Fund - Kedaara Capital AIF 1 ("Karakoram Limited together with Kedaara Capital Alternative Investment Fund - Kedaara Capital AIF 1 referred to as "Investor Selling Shareholders") (Investor Sellling Shareholders together with the promoter selling shareholder referred to as the "selling shareholders"). This offer includes a reservation of 150,000 equity shares aggregating up to Rs. 7.19 crores (constituting up to 0.15% of the post-offer paid-up equity share capital) for purchase by eligible employees (the "employee reservation portion"). The offer less the employee reservation portion is hereinafter referred to as the "net offer". The offer and the net offer would constitute at least 35.00% and 34.85%, respectively, of the post-offer paid-up equity share capital. The Offer Price is 531 per Equity Share of face value of Rs. 1 each. A discount of Rs. 52 per Equity Share is being offered to Eligible Employees bidding in the Employees Reservation Portion. The Offer Price is Rs. 531 of the face value of the Equity Shares. Bids can be made for a minimum of 28 Equity Shares and in Multiples of 28 Equity Shares thereafter.
