Initial public offer of 18,48,000 equity shares of face value of Rs. 10 each ("Equity Shares) of Khyati Global Ventures Limited ("KGVL" or the "Company") for cash at a price of Rs. 99 per share (the "Issue Price"), aggregating to Rs. 18.30 crores ("The Issue"), consisting of fresh issue of 10,48,000 equity shares of face value of Rs. 10 each aggregating to Rs. 10.38 crores and an offer for sale of 8,00,000 equity shares of face value of Rs. 10 each comprising of 4,25,000 by Ramesh Rughani and 3,75,000 by Chandika Rughani ("The Promoter Selling Shareholders or "The Selling Shareholders) aggregating to Rs. 7.92 crores ("Offer for Sale"), of which 93,600 equity shares of face value of Rs. 10 each will be reserved for subscription by aggregating market maker to the issue (the "Market Maker Reservation Portion"). The issue less than the market maker reservation portion i.e. issue of 17,54,400 equity shares of face value of Rs. 10 each is hereinafter referred to as the "Net Issue". The issue and the net issue will constitute 26.48% and 25.14% respectively of the post issue paid up equity share capital of the company. The face value of the equity share is Rs. 10 and the issue price is 9.9 times of the face value.
