Initial public offering of 67,48,000 equity shares of face value of Rs. 10 each (the "equity shares") of the company for cash at a price of Rs. 27 per equity share (the "offer price") aggregating up to Rs. 18.22 Crores through an offer for sale of (i) up to 55,50,000 equity shares aggregating to Rs. 14.99 by Ashok Dudhagara (the promoter); (ii) up to 11,98,000 equity shares aggregating to Rs. 3.23 Crores by Prafulaben Dudhagara (the promoter); (the "offer for sale" or the "offer' and such shareholders offering their respective equity shares in the offer for sale are collectively hereinafter referred to as the "selling shareholders" and individually as a "selling shareholder"). The offer includes a reservation of up to 3,40,000 equity shares aggregating up to Rs. 0.92 Crores, for subscription by market maker ("market maker reservation portion"). The offer less the market maker reservation portion i.e. Offer of upto 64,08,000 equity shares of face value of Rs. 10.00 each at an offer price of Rs. 27 per equity share aggregating to Rs. 17.30 Crores is hereinafter referred to as the "net offer". The offer and the net offer will constitute up to 26.99% and up to 25.63%, respectively of the post offer paid up equity share capital of the company. The face value of the equity shares is Rs. 10.00 each and the offer price of Rs. 27 is 2.7 times of the face value.
