Public offer of up to (*) equity shares of face value of Rs. 10 each (the "equity shares") of Harsha Engineers Limited (the "company") for cash at a price of Rs. (*) per equity share (including a share premium of Rs. (*) per equity share for the fresh issue) (the "offer price") aggregating up to Rs. (*) Crores (the "offer") consisting of a fresh issuance of up to (*) equity shares aggregating up to Rs. 370 Crores by the company ("fresh issue") and an offer for sale of up to 331,250 equity shares by Rajendra Shantilal Shah and up to 331,250 equity shares by Harish Ranjit Rangwala ("promoter selling shareholders") and up to 331,250 equity shares by Nirmala Rajendra Shah and up to 331,250 equity shares by Charu Sheela Harish Rangwala (the "promoter group selling shareholders", collectively with promoter selling shareholders, the "selling shareholders" and such equity shares cumulatively offered by the selling shareholders, the "offered shares") cumulatively aggregating up to Rs. (*) Crores ("offer for sale" and together with the fresh issue, the "offer"). The offer includes a reservation of up to (*) equity shares aggregating up to Rs. (*) Crores for subscription by eligible employees (defined hereinafter) ("employee reservation portion"). The offer less the employee reservation portion is referred to as the "net offer". The offer and the net offer shall constitute (*)% and (*)% of the post-offer paid-up equity share capital of the company, respectively. The face value of equity shares is Rs.10 each. The price band and the minimum bid lot will be decided by the company.
