Initial public offering of up to (*) equity shares of face value of Rs.2 each ("equity shares") of Devi Sea Foods Limited (the "company") for cash at a price of Rs.(*) per equity share (including a share premium of Rs.(*) per equity share) aggregating up to Rs.900 crores (the "offer") through an offer for sale of up to (*) equity shares by P. Brahmanandam and P. Suryavathi, the promoters, and P.Rama Devi and N Naveena, members of the promoter group (the "selling shareholders"). The offer includes a reservation of up to (*) equity shares, aggregating up to Rs.(*) crores, for subscription by eligible employees (as defined herein) not exceeding 5% of the post-offer paid up equity share capital (the "employee reservation portion"). The offer less the employee reservation portion is hereinafter referred to as the "net offer". The offer and the net offer shall constitute (*)% and (*)%, respectively of the post-offer paid-up equity share capital of the company. The face value of equity shares is Rs. 2 each. The price band, the amount of retail discount, if any, minimum bid lot and the employee discount, if any,will be decided by the company. * Retail discount of Rs. (*) to the offer price may be offered to retail individual bidders and an employee discount of Rs.(*) to the offer price may be offered to the eligible employees bidding in the employee reservation portion.
