Initial public offer of up to (*) equity shares of face value of Rs. 10 each (the "equity shares") of Century Metal Recycling Limited, (the "company" or the "issuer") for cash at a price of Rs. (*) per equity share (including a share premium of Rs. (*) per equity share) (the "offer price") aggregating up to Rs. (*) Crores (the "offer"). The offer comprises of a fresh issue of (*) equity shares aggregating up to Rs. 150 Crores by the company (the "fresh issue") and an offer for sale of up to 6,402,650 equity shares, consisting of up to 793,243 equity shares by Gauri Shankar Agarwala, up to 788,955 equity shares by Mohan Agarwal, up to 397,441 equity shares by Kalawati Agarwal and up to 534,921 equity shares by Pratibha Agarwal (the "promoter selling shareholders"), up to 236,632 equity shares by Gauri Shankar Agarwala HUF, up to 68 equity shares by Mohan Agarwal HUF, up to 527,484 equity shares by Sanjivani Non Ferrous Trading Private Limited and up to 573,520 equity shares by Grand Metal Recycling Private Limited (the "promoter group selling shareholders") and up to 2,550,386 equity shares by Global Scrap Processors Limited (the "investor selling shareholder", and together with the promoter selling shareholders and promoter group selling shareholders, the "selling shareholders") aggregating up to Rs. (*) Crores (the "offer for sale"). The offer shall constitute (*)% of the fully diluted post offer paid-up equity share capital of the company. The face value of the equity shares is Rs. 10 each and the offer price is (*) times the face value of the equity shares. The price band and the minimum bid lot will be decided by the company.
